Read it. In short: you keep ownership, and you give CTC a permanent, non-exclusive right to broadcast your content and share it across the CTC Network, with no payment, and you promise you have the rights to do that.
Creator Submission Agreement · v1.0
This Creator Submission Agreement (the "Agreement") is between you (the person submitting, and anyone you submit on behalf of, "you" or "Creator") and Connect the Coast ("CTC", "we", "us"). It governs every music video, podcast, and other material you submit to us through connxct.club or any other channel we provide (the "Content").
By checking the boxes on the submission form and typing your name, you are signing this Agreement electronically. Your electronic signature has the same legal effect as a handwritten one. If you do not agree to every term, do not submit.
1. Who can submit
You must be at least 18 years old (or the age of majority where you live, if higher). If you submit on behalf of an artist, group, label, or company, you confirm that you are authorized to bind them to this Agreement, and "you" includes them.
Anyone under 18 who appears in or contributed to the Content must have a parent or legal guardian who has consented in writing to everything in this Agreement. You must be able to produce that consent on request.
2. The license you give us
You keep ownership of your Content. By submitting it, you grant CTC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, transferable license, with the right to sublicense through multiple tiers, to do all of the following with the Content, in whole or in part, in any media, format, or technology now known or later developed:
• reproduce, host, store, encode, and archive it;
• broadcast, stream, transmit, publicly perform, and publicly display it, on a scheduled, live, linear, looped, on-demand, or any other basis;
• distribute it and make it available on CTC TV (on the web, on Roku, and on any other platform or device), connxct.club, CTC Radio, CTC Magazine, the 805 Culture Report newsletter, Str8laced No Chase, trap.fyi, our social media accounts, and every other website, app, channel, publication, or property that CTC or its affiliates own, operate, or control now or in the future (together, the "CTC Network");
• edit, cut, clip, trim, crop, resize, re-encode, caption, subtitle, translate, add or remove bumpers, graphics, lower thirds, watermarks, and branding, and otherwise adapt the Content for time, format, platform, or technical standards;
• create and use excerpts, clips, stills, thumbnails, trailers, and promotional material from the Content, and use them to advertise and promote the Content, CTC, and the CTC Network; and
• sublicense any of these rights to CTC Network properties, to affiliates, and to distribution partners and platforms that carry CTC programming, for the purposes described in this Agreement.
This license continues forever. It cannot be revoked, including by you deleting your copies, leaving a platform, or changing your mind.
3. Name, likeness, and credits
You grant CTC the same perpetual, irrevocable, worldwide, royalty-free license to use the names (including stage names), likenesses, images, voices, biographies, logos, and trademarks of you and of everyone who appears in or is credited on the Content, in connection with the Content and with promoting it, CTC, and the CTC Network. You confirm you have the right to grant this for every person involved.
We will try to credit the Content the way you list it on the submission form, but credit is not guaranteed, and an omitted or incorrect credit is not a breach of this Agreement. Tell us and we will correct it going forward.
4. No payment, no guarantee
You will not be paid for the Content or for any use of it, and you are not owed any royalty, fee, share of revenue, or other compensation. You understand CTC may earn money from the CTC Network, including through memberships, subscriptions, sponsorships, and advertising shown near, before, during, or after the Content, and you are not entitled to any of it.
Submitting does not guarantee that we will air, publish, or promote anything. We decide, in our sole discretion, whether, when, how often, and where the Content appears, and we may stop showing it at any time without notice or reason.
5. Your promises to us
You represent and warrant, now and every time the Content is used, that:
• you own or control every right needed to grant this Agreement, including in the sound recording (the master), the musical composition and lyrics, every beat, instrumental, and sample, all footage, images, artwork, and graphics, and all performances;
• every sample, beat, and third-party element in the Content is cleared or licensed for the uses in this Agreement, including broadcast and streaming;
• every performer, featured artist, producer, director, songwriter, and other contributor, and every person who appears in the Content, has consented to and granted the rights this Agreement requires, and you have signed releases or can obtain them on request;
• the Content does not infringe or misappropriate any copyright, trademark, right of publicity or privacy, or other right of any person, and is not defamatory;
• the Content does not contain sexual content involving anyone under 18, and anyone appearing in sexual or suggestive content was 18 or older at the time of filming;
• the Content and its production did not violate any law, and it contains no malware or harmful code; and
• everything you told us on the submission form is true, and the Content is accurately labeled (including whether it is explicit).
6. Royalties and clearances
You are solely responsible for any payment owed to anyone in connection with the Content, including to labels, publishers, producers, featured artists, performing rights organizations, collection societies, and unions. To the fullest extent you are able, you waive, and you will make sure no one claiming through you asserts, any claim against CTC or the CTC Network for royalties or fees arising from uses permitted by this Agreement.
7. Moral rights
To the fullest extent permitted by law, you waive, and agree not to assert against CTC, the CTC Network, or its sublicensees, any moral rights or similar rights (such as rights of attribution or integrity) in the Content, including in connection with the edits and adaptations described in Section 2.
8. If you want something taken down
You can ask us to stop scheduling the Content by emailing connectthecoast@gmail.com. We will consider the request in good faith and may honor it at our discretion. Honoring a request does not revoke the license, and we are not required to remove or recall copies, clips, or promotional material already made, published, archived, or distributed, or copies held by sublicensees.
We may remove any Content at any time, for any reason, including if we believe it breaches this Agreement or exposes anyone to a claim.
9. You will cover us
You will defend, indemnify, and hold harmless CTC, its owners, operators, affiliates, CTC Network properties, sublicensees, partners, and each of their officers, members, employees, contractors, and agents from and against every claim, demand, loss, liability, damage, fine, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or related to the Content, your breach of this Agreement or of any promise in Section 5, or any claim by a person who appears in, contributed to, or claims rights in the Content. We may take control of the defense of any claim with counsel of our choosing, and you will cooperate.
10. Release and limits on our liability
You release CTC and everyone listed in Section 9 from all claims arising from any use of the Content permitted by this Agreement, including claims for infringement, invasion of privacy, right of publicity, defamation, or emotional distress.
THE SUBMISSION SERVICE AND THE CTC NETWORK ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CTC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. CTC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OPPORTUNITIES, OR GOODWILL, ARISING FROM THIS AGREEMENT OR THE CONTENT, AND CTC'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). We are not responsible for the loss of, or damage to, any file or material you submit, so keep your own copies.
11. Disputes
Disputes under this Agreement are resolved by binding individual arbitration and not in a class action, under the dispute resolution terms in our Terms of Use at connxct.club/terms, which are part of this Agreement. This Agreement is governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules.
12. The record of your signature
You consent to doing business with us electronically and to signing this Agreement electronically. When you submit, we record your typed name, email address, the version of this Agreement and a fingerprint of its exact text, the date and time, your IP address, and your browser information, and we keep that record for as long as we use the Content and as long as needed after that to protect our rights. You can request a copy of your record at any time.
13. General
This Agreement, together with the Terms of Use and Privacy Policy at connxct.club, is the entire agreement between us about the Content and replaces any earlier understanding. We may assign this Agreement, including the license, to any affiliate or successor; you may not assign it without our written consent. If any part is found unenforceable, it will be enforced to the maximum extent possible and the rest stays in effect. Our failure to enforce any part is not a waiver. The license and Sections 3 through 13 survive any end of our relationship.
We may publish new versions of this Agreement for future submissions. A new version does not change the version you signed for Content you already submitted.
