This Magazine Feature Agreement (the "Agreement") is between you (the person submitting, and anyone you submit on behalf of, "you") and Connect the Coast ("CTC", "we", "us"). It covers everything you send us to be considered for CTC Magazine (Connxct Magazine) through connxct.club or any other channel we provide: your pitch, answers, bio, quotes, photos, artwork, audio, video, links, and anything we record or create with you for the feature (together, the "Materials").
By checking the box on the submission form and then verifying your email address, you accept this Agreement electronically. That has the same legal effect as a handwritten signature. If you do not agree to every term, do not submit.
1. Who can submit
You must be at least 18 years old (or the age of majority where you live, if higher). If you submit for an artist, group, label, venue, brand, or company, you confirm you are authorized to bind them, and "you" includes them.
2. The license you give us
You keep ownership of your Materials. You grant CTC a perpetual, irrevocable, royalty-free, fully paid-up, non-exclusive, transferable license, valid in all territories throughout the universe, to use the Materials, in whole or in part, in any media, format, or technology now known or later developed, including to reproduce, publish, display, perform, distribute, stream, broadcast, archive, edit, excerpt, crop, caption, translate, adapt, and create articles, reviews, covers, clips, graphics, and promotional material from them.
This license cannot be revoked, including by you deleting your copies, leaving a platform, or changing your mind.
3. Use across CTC properties, free of charge
CTC may sublicense the Materials, and anything we make from them, through multiple tiers and free of charge to every property CTC or its affiliates own, operate, or control now or in the future, including CTC Magazine, connxct.club, CTC TV (web and Roku), CTC Radio, the 805 Culture Report newsletter, Str8laced No Chase, trap.fyi, and our social media accounts (the "CTC Network"). No fee is owed to you for any CTC Network use.
4. Third-party licensing: we negotiate for you
You appoint CTC as your non-exclusive agent to license the Materials, and the articles and media we create from them, to third parties (for example other publications, platforms, broadcasters, and brands), and to negotiate any fee for that license on your behalf.
CTC does not need your permission, approval, notice, or confirmation to grant a third-party license or to set its terms, in any territory throughout the universe.
If a third party pays a fee for a license of your Materials specifically, CTC will pay you your share of the fee actually received, after CTC's agency commission and any direct costs, as stated to you in writing when the fee is paid. Fees for CTC's own articles, design, photography, or compilations belong to CTC.
5. Editorial control
Submitting does not guarantee coverage. We decide, in our sole discretion, whether to feature you, when, where, how much space you get, and what the piece says. The angle you choose is a request, not a promise. Our writers have their own voice and may include opinion, including critical reviews.
You do not get approval over the article, headlines, images, or edits. We may remove or update a piece at any time. If we get a fact wrong, tell us and we will consider a correction.
6. Name, likeness, and credits
You grant CTC the same perpetual, irrevocable, universe-wide license to use the names (including stage names), likenesses, images, voices, biographies, logos, and trademarks of you and of everyone who appears in or is credited in the Materials, in connection with the feature and with promoting it, CTC, and the CTC Network. You confirm you have the right to grant this for every person involved.
7. Paid placements: events, releases, and platforms
If your submission promotes an event, an album, single, or other release, or a platform, app, product, service, or business, it may be treated as an advertisement or sponsored placement rather than editorial coverage, and a fee may apply. Whether it qualifies as an advertisement, and the fee, are decided case by case at CTC's sole discretion.
Nothing paid runs until we have quoted a fee and you have accepted and paid it. We label paid placements as sponsored or advertising where the law or our standards require. Submitting is not an order, and we may decline any placement.
8. No payment for editorial features
Apart from Section 4, you are not paid for the Materials or any use of them, and you are not owed any royalty, fee, or share of revenue, including from memberships, sponsorships, or advertising shown near your feature.
9. Your promises to us
You represent and warrant that:
• you own or control every right needed to grant this Agreement, including in every photo, artwork, recording, and piece of writing you send, and the photographers, designers, and other creators involved have agreed;
• everyone who appears in the Materials has consented to the uses in this Agreement;
• the Materials do not infringe or misappropriate anyone's copyright, trademark, privacy, publicity, or other rights, and are not defamatory or unlawful; and
• everything you told us is true, and no one under 18 appears in any sexual or suggestive content.
10. Your email, the newsletter, and privacy
We email you a link to verify your address. Your submission is not considered until you verify it.
Once you verify, your email address is added to the 805 Culture Report, CTC's newsletter, which we run on Beehiiv (beehiiv.com), and you may receive a welcome email. You can unsubscribe at any time with the link in any email. Beehiiv processes your address under its own privacy terms.
We also keep your name, contact details, your answers, the version of this Agreement and a fingerprint of its exact text, the date and time, your IP address, and your browser information, as the record of your acceptance, for as long as we use the Materials and as long afterward as needed to protect our rights. Our Privacy Policy at connxct.club/privacy explains the rest.
11. Moral rights
To the fullest extent permitted by law, you waive, and agree not to assert against CTC, the CTC Network, its licensees, or sublicensees, any moral rights or similar rights (such as attribution or integrity) in the Materials.
12. Takedown requests
You can ask us to stop using the Materials by emailing connectthecoast@gmail.com. We will consider it in good faith and may honor it at our discretion. Honoring a request does not revoke the license, and we are not required to recall editions, archives, copies, or licenses already published, distributed, or granted.
13. You will cover us
You will defend, indemnify, and hold harmless CTC, its owners, operators, affiliates, CTC Network properties, licensees, sublicensees, and their people from every claim, loss, liability, cost, and expense (including reasonable attorneys' fees) arising from the Materials, your breach of this Agreement, or any claim by a person who appears in, contributed to, or claims rights in the Materials.
14. Release and limits on our liability
You release CTC and everyone listed in Section 13 from all claims arising from any use of the Materials permitted by this Agreement, including claims for infringement, invasion of privacy, right of publicity, defamation, or emotional distress.
THE SERVICE IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, CTC DISCLAIMS ALL WARRANTIES AND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR OPPORTUNITIES. CTC'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Keep your own copies of anything you send.
15. Disputes
Disputes are resolved by binding individual arbitration and not in a class action, under the dispute resolution terms in our Terms of Use at connxct.club/terms, which are part of this Agreement. This Agreement is governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules.
16. General
This Agreement, with the Terms of Use and Privacy Policy at connxct.club, is the entire agreement between us about the Materials. We may assign it, including the license, to any affiliate or successor; you may not assign it without our written consent. If any part is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. The license and Sections 3 through 16 survive any end of our relationship. A new version of this Agreement applies only to future submissions.
